TRADE COMPLIANCE POLICY

  1. PURPOSE
    1. This policy underscores our company’s unwavering commitment to ethical business practices and strict adherence to Singapore’s trade laws, as well as the international regulations governing import, export, and trade compliance.
    2. Compliance with trade regulations is not only a legal obligation but also a fundamental aspect of protecting our company’s reputation, maintaining strong relationships with our stakeholders, and ensuring business continuity. Failure to comply with these requirements can result in severe consequences, including financial penalties, supply chain disruptions, and loss of export/import privileges.
    3. Our business objectives will never justify any violation of trade compliance laws. Therefore, we are committed to the implementation, maintenance and continual improvement of a robust global trade compliance programme which integrates compliance activities into our company’s business processes.

  2. SCOPE
    1. This policy applies to all applicable export, import, and trade compliance laws and regulations of Singapore and any other countries where we conduct business.
    2. It is mandatory for all employees, subsidiaries, and business units of our company to fully comply with these laws and regulations when importing, exporting, or re-exporting goods, technology, or services.
    3. This policy also extends to third-party stakeholders, including suppliers, contractors, and business partners, who are expected to uphold the same trade compliance standards when conducting business on behalf of our company.

  3. RESPONSIBILITY
    1.  All employees are responsible for supporting the principles contained in this policy and working with fellow colleagues to continually monitor the company’s trade compliance.
    2.  Nopersonactingfororonbehalfofourcompanyshallship,mail,handcarryorinanyother way export or import any products (whether new or used, entire units or parts), or any technical data, or knowingly cause or permit any other person to do so, without being certain.
    3.  Senior Management serves as a role model for supporting these principles and is responsible for monitoring the level of compliance with this policy within the area of their responsibility.

  4. PROCEDURES
    1. ExportCompliance
      1.  All exports are to be accurately declared to the relevant officials of the export country, if applicable, under the laws of the export country.
      2.  All shipping related documentation shall accurately describe the item(s) being shipped as well as the applicable export classification and authorization.
      3.  Our company shall have proper authorization to export or re-export items, or technology (if applicable) controlled by government regulations. Such exports or re-exports may include intra-company and/or intra-country technology transfers (if applicable) to foreign persons – even if they are our company’s employees.
      4. Westrictlyprohibittransactionsinvolvingsanctioneddestinations,entities,orindividuals,as outlined by Singapore Customs and other relevant regulatory authorities.
    1. ImportCompliance
      1.  All imports are to be accurately described to the relevant officials of the import country, if applicable, under its laws and regulations.
      2.  All import shipping declarations shall accurately state all required information in detail, including the importer of record’s name and address, consignee’s name and address, quantity, classification, value, and duty preference eligibility, as well as country of origin for the imported items.
      3.  We shall have proper authorization to import items or technology (if applicable) controlled by government regulations.
    1. Anti-BoycottCompliance
      1. Employees who received a request to support a trade boycott of any country shall report it promptly to our Human Resources Department, in accordance with the corporate policy.
      2.  The HR Manager shall assess if any such requests to participate in a boycott could violate applicable anti-boycott regulations or could otherwise negatively impact our company.
      3.  We shall not participate in or involve in any trade boycott without the prior written approval of Senior Management.

  5. ENFORCEMENT AND CONSEQUENCES OF NON-COMPLIANCE
    1.  Any violations of this policy, whether intentional or accidental, will be taken very seriously and may result in disciplinary action, up to and including termination of employment.
    2.  Legal consequences may include fines, penalties, suspension of trade privileges, or criminal liability for individuals and the company.
    3.  Ourcompanyreservestherighttotakeappropriateactionagainstthird-partypartnerswhofail to comply with trade laws while conducting business on our behalf.
